Sample Contract

Below is a sample of a contract used for professional services. It is an example only, and has not been approved by SWE or any legal authority.

This grant agreement, to be effective as of the _____ day of _____, 2001, by and between [NAME OF SECTION] ] and [NAME OF CONTRACTOR] ].

WITNESSETH:

Whereas, [NAME OF SECTION] is desirous of retaining [NAME OF CONTRACTOR] to perform the services described in this Agreement; and

Whereas, [NAME OF CONTRACTOR] desires to perform these services in accordance with the terms and conditions of this Agreement,

Now, Therefore, [NAME OF SECTION] and [NAME OF CONTRACTOR] hereby agree as follows:

1.  Term

The term of this Agreement shall commence on the date set forth above, and continue until ______ or termination pursuant to paragraph 2.

2.  Termination

This Agreement may be terminated by either party upon written notice if the other party breaches any material term or condition of the Agreement and such breach remains uncorrected for thirty days following written notice from the non-breaching party specifying the breach.

3.  Services

In consideration of the grant described in paragraph 4 of this Agreement, [NAME OF CONTRACTOR] will provide the services and complete work described in this Agreement in order to fulfill the proposal accepted and funded by the Society of Women Engineers and [NAME OF SECTION] .

5.  Failure to Perform

[NAME OF CONTRACTOR] shall not be liable for a delay in performance due to force of nature, including accidents, acts of God, or other delays beyond the control of [NAME OF CONTRACTOR] . [NAME OF CONTRACTOR] shall notify [NAME OF SECTION] of expected delay immediately.
